Job Purpose

Provide proactive and primary legal support to a business franchise, including preparations for and launching a new therapy. This includes promotional and non-promotional material reviews, commercial and vendor contract reviews, market access and patient support initiatives and other functions within the AAA US business, as needed.

Major Accountabilities
More specifically, you will manage the following:

• Manage complex legal matters both as lead counsel and through coordination with AAA legal colleagues, attorneys in the Novartis Oncology Legal Team, and external lawyers, as appropriate. Provide trusted counsel to a broad range of internal stakeholders, including AAA’s executive committee, senior management, sales and marketing, regulatory affairs, medical affairs, research and development, and business development functions. Deliver 360-degree legal advice.
• Support pre-launch and launch planning activities and ensure compliance with applicable regulations.
• Draft, negotiate and review a wide variety of agreements, including, licensing, joint venture, co-development, distribution, sales, research, feasibility study, material transfer, employment, consulting, service, CRO, CMO, clinical trial and confidentiality agreements.
• Facilitate dispute resolution in conjunction with external counsel; advise commercial colleagues on innovative marketing strategies; maintain corporate records and manage securities filings for a variety of subsidiaries as part of corporate secretary function; assist with commercial deal generation and execution; advise on employment law matters; procure and negotiate insurance policies.

Business Acumen/Leadership:
• Understand and actively contribute to new strategies supporting business goals. Exercise judgment calls during times of ambiguity, inform business partners of risks, and help identify appropriate path forward in complex and evolving legal and regulatory environment.

Regulatory and Promotional Materials Review:
• Partner with commercial, regulatory, and medical colleagues to ensure timely review of promotional and non-promotional materials. Contribute actively to the review team by evaluating potential risk and providing counsel.
• Ensure coordination with other legal associates supporting brand to ensure consistency.

Functional Leadership:
• Actively contribute to Legal Function through, participation in initiatives and sharing best practices, to build departmental knowledge and capabilities. Partner with colleagues to contribute expertise as needed and maintain collaborative working relationships with cross-functional colleagues.

Minimum Requirements

Education
• Juris Doctor or equivalent degree required and prior Bachelors or equivalent 4-Year university degree required.

Experience
• Minimum 5 Years + experience in legal counseling role in pharma/biotech industry or major law firm. Acceptance to US State Bar is required.
• Prior experience in promotional review committees and/or significant contracts experience a plus.
• Strong knowledge of legal issues affecting the pharma/biotech industry including regulatory, medical/clinical development, privacy, and digital/social media.
• Strong business acumen with deep understanding of the pharmaceutical business and related legal issues.
• Excellent communication, interpersonal and presentation skills, with ability to manage and influence across a cross-functional matrix organization. Strong negotiation and conflict management skills.
• Good project management skills, strong analytical and organizational skills and ability to manage high volume of work in fast paced environment.

Travel
• Up to 10-20% travel may be required, subject to business requirements.

Languages
• Fluency in English required, both excellent oral and written communications skills.

This is an East Hanover, NJ based role. Consideration may be given for remote working arrangements in the US (There may be exceptions based on Legal Entity registration).
