Legal Counsel, NTO (Novartis Technical Operations) APAC
Job Purpose:
• Support the Head Legal of Novartis Technical Operations in APAC (“NTO”) in the management of all legal matters in scope of NTO in APAC.
• Drive the effective implementation of the NTO legal strategy; and further the NTO mission to become the best Technical Operations organization in the industry for generics and innovative medicines of all dosage forms as well as the external supply and procurement organisations, through effective business partnering and smart risk taking.
• Manage day to day transactions and contracting requirements for the NTO procurement organization across APAC.
• Support on strategic projects including build out of Cell & Gene manufacturing capacity, in-licensing of products and divestment / out-licensing of products.
• Support the two sites in NTO in Japan on day to day legal issues and assist with the forthcoming site consolidation.
• Strong candidates will be expected to independently lead NTO-related projects and transactions, including on the supply aspects of global and regional M&A and Business Development & Licensing transactions, negotiate complex agreements; manage disputes and litigation and assist management decisions by providing robust legal and risk assessments.
• The successful candidate will be a strong contributor to the plans and goals of the NTO legal team in APAC and contribute to the overall legal framework and support given to the Novartis business in APAC and beyond.

Key Responsibilities
• Is a member of the NTO APAC Legal Team and actively contributes to the design and execution of the function’s strategy.
• Adds value to the NTO APAC strategy and decision making as the legal business part-ner, and provides legal support for certain manufacturing activities across the divisional portfolios in Japan.
• Supports the APAC Head of Legal in the legal negotiation, drafting and review of vari-ous legal arrangements related to NTO across the Local Market Manufacturing Plat-form, its network of sites and external contract manufacturers, including projects, col-laborations and alliances
• Acts as legal partner for NTO Business Development and Licensing (BD&L) providing timely, pragmatic and clear NTO input into BD&L (out-licensing, in-licensing and product divestments) and M&A transactions, as allocated from time to time, and supporting the implementation of transactions post-closing with contract interpretation, contract amendments and strategic and legal advice as required.
• Supports the negotiation of contracts with third parties across APAC, especially with suppliers, contract manufacturers and external partners.
• At the request of APAC Head of Legal, support Site Leadership teams at Sasayama and Kaminoyama, regional cluster leadership teams and global functions as required in relation to regulatory questions and inspections.
• Coordinates and aligns its activities with other members of the NTO Legal and Compliance team, the NTO organization and its technologies as well as with other business and functional stakeholders in the division, as necessary.

Key Performance Indicators
• Improves quality of support to NTO procurement team in APAC.
• Effectively supports integration of two sites in Japan and accompanying issues with supply and volumes.
• Effective and efficient legal execution of key NTO initiatives / projects in Japan and across APAC to enable the NTO Legal team to achieve its objectives.
• Under guidance of NTO Head of Legal for APAC, communication, management and mitigation of NTO legal and compliance risks, allowing Novartis to understand and comply with its contractual and statutory obligations, and assisting management decision-making processes by providing robust risk and legal assessments.
• Contributes to the APAC NTO legal team with ideas for how to improve collaboration and connectivity, including by adopting new digital solutions and improving processes.

• Law school graduate and bar membership.
• Native fluency in Japanese; strong proficiency in spoken and written English.
• Extensive commercial legal experience in an international environment in-house and/or at a law firm with broad experience, ideally some experience in handling pharmaceutical and industry specific manufacturing and regulatory matters (5-7 years).
• Able to analyse complex legal issues.
• Strong verbal and written communication skills; together with a strong ability to influence and negotiate. Able to set priorities and manage a wide-ranging work load under time pressure.
